Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and ReaTech, Inc. ("ReaTech," "we," "us," or "our") governing your access to and use of the Sentinel compliance automation platform (the "Service").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Sentinel is a compliance automation platform designed to help organizations achieve and maintain SOC 2 and ISO 27001 compliance. The Service provides:

  • Automated evidence collection — connecting to your cloud infrastructure (AWS, GitHub, Google Workspace) to collect compliance evidence
  • Compliance monitoring — continuous assessment of your security posture against SOC 2 and ISO 27001 controls
  • Policy generation — automated creation of security and compliance policy documents
  • Audit reporting — generation of compliance reports including SOC 2 audit reports, ISO 27001 audit reports, and executive summaries
  • Dashboard and analytics — real-time visibility into your compliance status

3. Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the confidentiality of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into these Terms. Each individual may only maintain one account. Company accounts may have multiple authorized users.

4. Subscription Plans and Billing

4.1 Subscription Tiers

The Service is offered under the following subscription plans:

  • Starter — $200 per month. Includes 1 integration and up to 100 compliance checks per month.
  • Professional — $500 per month. Includes up to 3 integrations, unlimited compliance checks, advanced reports, and email support.
  • Enterprise — $2,000 per month. Includes unlimited integrations, unlimited compliance checks, advanced reports, priority support, and API access.

4.2 Billing

All payments are processed through Stripe, Inc. By subscribing, you authorize Stripe to charge your designated payment method on a recurring monthly basis. Subscription fees are billed in advance at the beginning of each billing cycle.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

4.4 Cancellation

When you cancel your subscription, you will retain access to the Service until the end of your current billing period. No refunds are issued for partial billing periods on monthly subscriptions.

4.5 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to develop a competing product or service
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use automated tools (bots, scrapers) to access the Service beyond normal API usage
  • Upload or transmit malicious code, viruses, or harmful content
  • Misrepresent your identity or affiliation with any person or organization

6. Cloud Integrations

By connecting your cloud accounts (AWS, GitHub, Google Workspace) to Sentinel, you:

  • Authorize Sentinel to access the connected accounts using the credentials you provide, solely for the purpose of collecting compliance evidence
  • Represent that you have the authority to grant such access on behalf of the account owner
  • Acknowledge that you are responsible for the permissions and scope of access granted to Sentinel
  • May revoke access at any time by disconnecting the integration through your account settings

We access your connected accounts using read-only permissions wherever possible and limit data collection to information relevant to compliance assessments.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, and other content (excluding your data), is owned by ReaTech and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

7.2 Your Content

You retain ownership of all data you provide to or generate through the Service, including:

  • Compliance evidence collected from your cloud accounts
  • Policy documents generated using the Service
  • Audit reports generated using the Service
  • Company and account information

You grant ReaTech a limited, non-exclusive license to use your data solely for the purpose of providing, maintaining, and improving the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Important disclaimers:

  • Sentinel does not guarantee compliance certification. The Service is a tool designed to assist your compliance program. Achieving SOC 2, ISO 27001, or other certifications requires a formal audit by a qualified third-party auditor.
  • Compliance evidence and reports are informational tools. They are intended to support and streamline your compliance efforts, not to replace professional audit, legal, or security advice.
  • We do not guarantee uninterrupted or error-free operation of the Service.
  • We are not responsible for the accuracy of data retrieved from your connected cloud accounts. The accuracy of compliance evidence depends on the state of your cloud configurations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REATECH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your data

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to ReaTech in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReaTech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any misrepresentation by you regarding your authority to connect cloud accounts

11. Termination

11.1 By You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us. Upon termination, your right to use the Service ceases immediately at the end of your current billing period.

11.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or if required by law.

11.3 Effect of Termination

Upon termination, your data will be available for export for 30 days. After 30 days, your data will be deleted in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will continue in effect.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on our website and notifying you by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and ReaTech regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
